CREEVX LIMITED – SALES TERMS & CONDITIONS

1. INTRODUCTION
1.1 These Sales Terms & Conditions (“Terms”) apply to all sales of equipment, software platform licences, and services by CreevX Limited (“CreevX”, “we”, “us”, “our”) unless superseded by a separate written and signed agreement with the Customer.
1.2 By purchasing goods or services from CreevX, the Customer agrees to be bound by these Terms.
2. ORDERS
2.1 No Order is binding until accepted in writing by CreevX.
2.2 Quotations are not offers and may be withdrawn or amended at any time before acceptance.
2.3 Orders are subject to availability and CreevX reserves the right to refuse any Order.
3. PRICES & PAYMENT
3.1 Prices are exclusive of VAT which will be added at the applicable rate.
3.2 Invoices are payable within thirty (30) days from the invoice date unless otherwise agreed in writing.
3.3 All payments must be made in cleared funds and without deduction, set-off, or withholding.
3.4 CreevX may charge interest on overdue amounts at 4% above the Bank of England base rate.
4. DELIVERY OF EQUIPMENT
4.1 Delivery dates are estimates and time is not of the essence.
4.2 Risk passes on delivery. Title passes only when all sums due to CreevX have been paid in full.
4.3 The Customer is responsible for providing accurate delivery information and safe access.
5. WARRANTY
5.1 CreevX warrants that equipment will materially comply with its description and be free from material defects during the warranty period stated in the relevant Order or accompanying documentation.
5.2 The warranty excludes damage caused by misuse, improper installation, unauthorised repair, fair wear and tear, abnormal conditions, or failure to follow instructions.
5.3 CreevX may repair, replace, or refund defective items at its discretion.
6. PLATFORM LICENCE
6.1 Subject to payment of applicable fees, CreevX grants a non-exclusive, non-transferable licence to access and use the CreevX software platform (“Platform”) for the term stated in the Order.
6.2 The Customer must not:
(a) copy, modify, reverse engineer, disassemble, or create derivative works of the Platform;
(b) sublicense, sell, or distribute the Platform to third parties; or
(c) interfere with security or attempt unauthorised access.
6.3 The Platform is provided “as is” and CreevX does not warrant uninterrupted or error-free operation.
7. CUSTOMER OBLIGATIONS
7.1 The Customer shall:
(a) provide accurate and complete information;
(b) ensure safe working environments for installation or services;
(c) comply with all applicable laws;
(d) use the Platform and equipment responsibly and lawfully.
7.2 CreevX is not liable for delays or failures caused by Customer acts or omissions.
8. LIABILITY
8.1 Nothing limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot legally be limited.
8.2 CreevX is not liable for:
(a) loss of profit, revenue, business, or contracts;
(b) loss of data, corruption of data, or loss of use;
(c) indirect or consequential loss.
8.3 Subject to clause 8.1, CreevX’s total aggregate liability arising out of or in connection with any Order is limited to the higher of:
(i) the total Charges paid under that Order; or
(ii) the Charges payable for twelve (12) months under that Order.
9. DATA PROTECTION
9.1 Each party acts as an independent controller for personal data exchanged under these Terms.
9.2 Each party shall comply with applicable data protection laws including the UK GDPR.
10. TERMINATION
10.1 CreevX may suspend or terminate an Order if the Customer fails to pay any amount due or breaches these Terms.
10.2 On termination, all outstanding sums become payable immediately.
11. GENERAL
11.1 Force Majeure: CreevX is not liable for delays caused by events beyond its reasonable control.
11.2 Assignment: The Customer may not assign rights without CreevX’s prior written consent.
11.3 Governing Law: These Terms are governed by the laws of Northern Ireland.
11.4 Jurisdiction: The courts of Northern Ireland have exclusive jurisdiction.
